Terms for SPEEDEX Overseas Partners

1. Business organizations (corporate and individual) who deal with us directly for the purpose of using the "SPEEDEX TOKYO Server" are named "SPEEDEX Overseas Partners".
2. We will provide the services outlined in Article 4 to "SPEEDEX Overseas Partners".
3. "SPEEDEX Overseas Partners" shall faithfully fulfill all obligations set forth in this Agreement , such as fee payments etc.

1. Terms shall be effective in all relationships between us and "SPEEDEX Overseas Partners" using "SPEEDEX TOKYO Server".

1. "SPEEDEX Overseas Partners" means Corporations and Individuals outside of Japan who actually have the right to use "SPEEDEX TOKYO Server" by virtue of the approval of this Agreement.
2. "SPEEDEX Overseas Partners" can freely use the "SPEEDEX TOKYO Server" borrowed from the "Company" so long as there is no violation of this Agreement. In addition, "SPEEDEX Overseas Partners" can resell "SPEEDEX TOKYO Server".

1. Services provided to "SPEEDEX Overseas Partners" by the "Company" are described on the SPEEDEX website:http://www.speedex.ne.jp/en/
2. Services supplied to "SPEEDEX Overseas Partners" may be changed without the consent of the partners, if deemed necessary by the "Company".

1. "SPEEDEX TOKYO Server" and other fees relating to the use of the Services are described on the Table of Fees found on the home page http://www.speedex.ne.jp/en/.
2. Payment of fees is as follows.
   • Various initial cost have to be paid immediately with 'PayPal' when applying for initial use of this product.
   • The first-time server fee, prorated until the end of the month from the date of delivery of the servers and the sum of one month in advance, have to be paid immediately with 'PayPal', when applying for initial use of this product.
   • Fees after the second billing period have to be paid with 'PayPal', on the 15th of the previous month.
   • The deal to date of each "SPEEDEX TOKYO Server" is the date of the initial costs and various fees for first-time paid with 'PayPal'.
   • Other services fees not listed on this website, will be separately determined.
3. The "Company" can revise fees for use of services without the authorization of "SPEEDEX Overseas Partners". However, in principle, in such cases, prior notification will be given.

1. In the use of "SPEEDEX TOKYO Server", the following are prohibited activities.
   "SPEEDEX Overseas Partners" shall comply with the following items over the whole of the use "SPEEDEX TOKYO Server" borrowed from the "Company". That is, even for resale where obliged to enforce the section below. These include, but are not limited to:
   • Providing of adult content
   • Disseminating data without permission of the copyright holder to the works and programs of others
   • Causing Harm to third parties by providing false information
   • Disseminating harmful Information like slander, defamatory remarks etc.
   • Sending email that we determine to be spam
   • In addition, any act contrary to the laws of Japan is strictly prohibited.
2. If we determine that there are violations against the prohibitions in paragraph 1, we will take necessary action and may remove the offending information without notifying "SPEEDEX Overseas Partners".

1. If any of the following conditions occur on "SPEEDEX Overseas Partners", the Company can suspend or cancel the eligibility of the "SPEEDEX Overseas Partners":
   • If there are any false declarations when applying for"SPEEDEX TOKYO Server".
   • If there are any conditions applicable to Article 6 Prohibited Acts.
   • If there is any delay in the payment of a fee, or if the "SPEEDEX Overseas Partners" refuses to pay fees.
   • If there is a serious violation to the terms of the registrar domain registration.
   • If there are excessive support requests, or if there are repeated/trivial support requests.
   • If the "SPEEDEX Overseas Partner" is determined to be inappropriate in its use of the service by the Company.
2. If there are grounds for dispute regarding the items outlined above, "SPEEDEX Overseas Partners" shall immediately pay any damages to the Company. The Company bears no responsibility for any damages suffered by suspending or canceling. In addition, any prepaid fees will not be returned.

1. If "SPEEDEX Overseas Partners" wish to stop using the "SPEEDEX TOKYO Server", the "SPEEDEX Overseas Partners" shall notify the Company on the Contact Us page to that effect by the 10th of the previous month.
2. When the use of "SPEEDEX TOKYO Server", is stopped, and if "SPEEDEX Overseas Partners" are disqualified, any obligations to the company at that time shall be paid in full.
3. If the "SPEEDEX Overseas Partners" stop using "SPEEDEX TOKYO Server", any prepaid fees shall not be returned.
4. If the "SPEEDEX Overseas Partners" stop using "SPEEDEX TOKYO Server", the "SPEEDEX Overseas Partners" shall proceed at their own risk to manage domain names web pages, email addresses etc.
5. If use of the "SPEEDEX TOKYO Server" is terminated, all data will be deleted from the server after such termination, and the Company shall not be responsible for the integrity of any data.

1. The "SPEEDEX TOKYO Server" system will be available basically seven days a week, 24 hours a day.
   However, if there should be any stoppage of the operations of the system caused by unavoidable maintenance or construction of facilities systems, the Company will promptly notify "SPEEDEX Overseas Partners" of such conditions.
   In the case of an emergency notification shall be omitted.
2. In the event of delays or interruptions in "SPEEDEX TOKYO Server" service, we will assume no liability.

1. The Company shall not be liable for any damages incurred by "SPEEDEX Overseas Partners" caused by the use of "SPEEDEX TOKYO Server".
2. If there is any damage to third parties, on the "SPEEDEX TOKYO Server" used by the "SPEEDEX Overseas Partners", the "SPEEDEX Overseas Partners" are to be held fully responsible and , the Company shall be considered blameless.

1. If there are changes in "SPEEDEX Overseas Partners" data such as email, address, business organization name etc., "SPEEDEX Overseas Partners" shall promptly notify the Company of such changes.
2. If because of lack of notification regarding changes in "SPEEDEX Overseas Partners" data by the "SPEEDEX Overseas Partners", there results in late arrival and/or no arrival of any notification from the Company, we will not assume any responsibility.

1. This Terms of Use, at our discretion can be changed without approval of "SPEEDEX Overseas Partners".
2. Revised Terms of Use also applies to any relationship between the Company and "SPEEDEX Overseas Partners".
